Overview


Welcome to Teach Me Bass Guitar Streaming Video! These Terms of Use govern your use of our service.  As used in these Terms of Use, Teach Me Bass Guitar, “our service” or the “Service” means the services provided by The Learning Dock, LLC (TLD), producers of Teach Me Bass Guitar, for viewing our bass guitar instructional videos via the Internet, including all features and functionalities of the website, user interfaces and Content associated with our service.  

1. Your Acceptance


A) By using digital Teach Me Bass Guitar products, software, data feeds, and services provided to you on, from, or through the Teach Me Bass Guitar website, shop, or streaming and download services,  collectively the "Service", you signify your agreement to these terms and conditions (the "Terms of Use").  If you do not agree to any of these terms, then we appreciate your interest, but please do not use the Service.  

B) Teach Me Bass Guitar that is providing the service to you and with whom you are entering into this Agreement is a product of The Learning Dock, LLC, which is located in Palm Coast, Florida, U.S.A.   

2. Changes to Terms of Use


Although we may attempt to notify you when major changes are made to these Terms of Use, you should periodically review the most up-to-date version (https://www.teachmebassguitar.com). Nothing in these Terms of Use shall be deemed to confer any third-party rights or benefits.  

3. Privacy


Personally identifying information is subject to our Privacy Policy (https://www.teachmebassguitar.com), the terms of which are incorporated herein.  Please review our Privacy Policy to understand our practices.  

4. Communication Preferences


By using the Teach Me Bass Guitar service, you consent to receiving electronic communications from Teach Me Bass Guitar relating to your account.  These communications may involve sending e-mails to your e-mail address provided during registration and will include notices about your account (e.g. payment authorizations, change in password, confirmation e-mails and other transactional information) and are part of your relationship with Teach Me Bass Guitar.  You agree that any notices, agreements, disclosures or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.  You should maintain copies of electronic communications by printing a paper copy or saving an electronic copy.   

5. General Terms of Service


A) These Terms of Use apply to all users of the Service.  The Service may contain links to third party websites - for example, under the Reviews heading, that are not owned or controlled by Teach Me Bass Guitar. Teach Me Bass Guitar has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites. In addition, Teach Me Bass Guitar will not and cannot censor or edit the content of any third-party site. By using the Service, you expressly relieve Teach Me Bass Guitar from any and all liability arising from your use of any third-party website.  

B) Accordingly, we encourage you to be aware when you leave the Service and to read the terms and conditions and privacy policy of each other website that you visit.  

6. Teach Me Bass Guitar Accounts


A) In order to access some features of the Service, you will have to create a Teach Me Bass Guitar Account.  This is termed "Registration" at this website. You may never use another's account without permission. When creating your account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You must notify Teach Me Bass Guitar immediately of any breach of security or unauthorized use of your account.  

B) Although Teach Me Bass Guitar will not be liable for your losses caused by any unauthorized use of your account, you may be liable for the losses of Teach Me Bass Guitar or others due to such unauthorized use.  

7. Payment Terms


A) You agree to pay for any Service that you order. If you purchase any automatically renewing subscriptions, you agree that Teach Me Bass Guitar will charge the payment via the method on file for your account on the first day of each billing period for the relevant subscription, and if the payment method on file becomes invalid due to an expired credit card or other similar reason and we are unable to charge you on the next billing period, Teach Me Bass Guitar will notify you so that you may update our information in order to preserve your access to your account. If you fail to update your payment method within 30 days, Teach Me Bass Guitar reserves the right to cancel your subscription. You will always find us helpful if you are unable to make a payment for extraordinary reasons. Just call us at 386-693-1357, add prefix '1' in EU and U.K.. 

B) You acknowledge and agree that you are responsible for paying all fees in a timely manner and for providing us with a valid credit card or other form of payment acceptable to Teach Me Bass Guitar. IN ADDITION, YOU ACKNOWLEDGE THAT YOUR ONLINE ACCEPTANCES CONSTITUTE A BINDING AGREEMENT BETWEEN YOU AND TEACH ME BASS GUITAR AND SIGNIFY YOUR INTENT TO BE BOUND TO SUCH ONLINE ACCEPTANCES.   SUBJECT TO APPLICABLE LAWS, IN NO EVENT WILL TEACH ME BASS GUITAR OR ITS AFFILIATES' AGGREGATE LIABILITY FOR ANY AND ALL CAUSES OF ACTION BROUGHT BY YOU OR YOUR AGENTS ARISING FROM OR RELATED TO THE SERVICES EXCEED THE PAYMENTS ACTUALLY RECEIVED AND RETAINED BY TEACH ME BASS GUITAR FROM YOU FOR THE PAID SERVICES.  

C) Unless not permitted by applicable law, you acknowledge and agree that that these Terms of Use, your transaction for the Service, and your relationship with Teach Me Bass Guitar under these Terms of Use shall be governed by the laws of the State of Florida, U.S.A., without respect to its conflict of laws principles, and any claim or dispute that arises in whole or in part from your use of the Teach Me Bass Guitar Website and the Services will be decided exclusively by a court of competent jurisdiction located in Flagler County, Florida, U.S.A.  

8. Cancellation & Termination Terms


You may cancel your subscription or plan at any time during the first month. However, there are significant cancellation terms and obligations thereafter.  To cancel your Account or Service provide notice to our Customer Support Team by e-mail at barbara@thelearningdock.com.

A) Subscription Cancellations: If you purchase a subscription to a Service that automatically renews, you may cancel the subscription at any time before the end of the current billing period and the cancellation will take effect on the next billing period. You will retain access to the Service from the time you cancel until the start of the next billing period, and will not receive a refund or credit for any remaining days in your current billing period.  

B) After the first month, cancellation forfeits all monthly subscription fees paid to date.  You will be billed for the amount due according to your use of the Service.   

9. Payment Cancellation


If for any reason you cancel payment for the streaming video services, your account will be immediately suspended.  You will lose access to the streaming video.  We will contact you to restore payment, and if payment resumes, we will restore streaming video access.  If you decide to cancel your subscription, the cancellation terms will apply.  We will audit your account and send you a bill for the amounts owing upon cancellation, according to our terms.  

10. Refunds


You can cancel your purchase and receive a refund as long as you have not commenced using the relevant Service ordered and you make your request no later than 7 working days after your order is completed. Requests for refunds must be directed to our customer support team by E-mail at barbara@thelearningdock.com. We reserve the right to approve or deny refund requests after 7 working days at our sole discretion, except where the Service is defective. In the event a refund is issued after 7 days for any subscription Service, you may be issued a partial refund that is pro-rated for the remaining time left on the subscription. If you receive a refund for any reason, The Learning Dock, LLC reserves the right to terminate your access to the relevant Service purchased.  

11. General Use of the Service


A) Upon purchase of streaming video access from Teach Me Bass Guitar, you are granted an individual license to view the video for as long as the Service is active, up to a period of 100 years from the date of purchase. Video playback is for personal use only and licensed solely to the original owner of the account. Replication or storage of any of the videos streamed from Teach Me Bass Guitar is stealing and, therefore, prohibited.  

B) Any Content viewed through our service, are for your personal and non-commercial use only. During your Teach Me Bass Guitar membership, we grant you a limited, non-exclusive, non-transferable, license to access the Teach Me Bass Guitar streaming Service and to view the service on a streaming-only basis for that purpose. Except for the foregoing limited license, no right, title or interest shall be transferred to you.  

C) You agree not to distribute in any medium any part of the Service or the Content without prior written authorization from The Learning Dock, LLC, 24 Blakeport Lane, Palm Coast, FL, 32137.  

D) You agree not to access or provide information to a third party that might make it possible for them to access Content through any technology or means.  

E) You agree not to use the Service for any of the following uses unless you obtain prior written approval from TLD:  The sale of advertising, sponsorships, or promotions placed on or within the Service or content.  

F) In your use of the Service, you will comply with all applicable laws.  

G) TLD, reserves the right to discontinue any aspect of the Service at any time.  

12. Teach Me Bass Guitar Service


A) You agree to use the Service, including all features and functionalities associated therewith, in accordance with all applicable laws, rules and regulations, or other restrictions on use of the Service or Content therein.

B) You agree not to archive, download (other than through caching necessary for personal use), reproduce, distribute, modify, display, perform, publish, license, create derivative works from, offer for sale, or use (except as explicitly authorized in these Terms of Use) Content and information contained on or obtained from or through the Teach Me Bass Guitar Service without express written permission from TLD.

C) You also agree not to: circumvent, remove, alter, deactivate, degrade or thwart any of the Content protections in the Teach Me Bass Guitar service; use any robot, spider, scraper or other automated means to access the Teach Me Bass Guitar Service; decompile, reverse engineer or disassemble any software or other products or processes accessible through the Teach Me Bass Guitar Service; insert any code or product or manipulate the content of the Teach Me Bass Guitar Service in any way; or, use any data mining, data gathering or extraction method.

D) You agree not to upload, post, e-mail or otherwise send or transmit any material designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment associated with the Teach Me Bass Guitar service, including any software viruses or any other computer code, files or programs.

E) The availability of Teach Me Bass Guitar will change from time to time. The quality of the display of the streaming may vary from computer to computer, and device to device, and may be affected by a variety of factors, such as your location, the bandwidth available through and/or speed of your Internet connection.  You are responsible for all Internet access charges. Please check with your Internet provider for information on possible Internet data usage charges. TLD makes no representations or warranties about the quality of your watching experience on your display. The time it takes to begin watching will vary based on a number of factors, including your location, available bandwidth at the time, and the configuration of your device.

F) Once the signal is transmitted over the Internet, Teach Me Bass Guitar has no control over the number of servers it goes through, the distance it travels, or any of the conditions surrounding the reception on the other end.  If there is an interruption in the reception, it is remedied immediately.  Nevertheless, Teach Me Bass Guitar has no way to correct any local problems that you may have with RECEPTION, which may include your computer hardware, software or internet connection issues.

G) We may terminate or restrict your use of our Service, without compensation or notice if you are, or if we suspect that you are (i) in violation of any of these Terms of Use or (ii) engaged in illegal or improper use of the service.

13. Changes


A) Changes or Discontinuation of Services. Teach Me Bass Guitar reserves the right to change the availability of Services. In addition, we reserve the right to modify, suspend, or discontinue any Service with or without notice to you and we will not be liable to you or any third party for any such modifications, suspension, or termination, except to refund any unused portion of your payment.

B) Changes to the Service Terms of Use. We may also change these Service Terms of Use from time to time so we encourage you to periodically review the most up-to-date version at https://www.teachmebassguitar.com/terms-of-service. If the Service Terms of Use change, you will have the opportunity to review the new terms when you next purchase any Service. By completing the purchase, you signify your agreement to the new Service Terms of Use, and further, that they will apply to your use of the Service as a whole (including any Service you have purchased in the past) and all subsequent purchases (until the Service Terms of Use change again). If you refuse to accept the updated Service Terms of Use then you may not buy any additional Services and the latest version of the Service Terms of Use that you accepted will continue to apply to your use of previously purchased Services.

14. Teach Me Bass Guitar License


Your use of the Teach Me Bass Guitar Service must be only for personal, non-commercial use. You are receiving a non-exclusive license to access the Service and all rights, title and interest in the Services (including any content offered through the Services) not expressly granted to you in these Terms are reserved by TLD. If TLD reasonably determines that you violated any of the terms and conditions of the Terms of Use, your rights under this Section will immediately terminate and TLD will terminate your access to the Service and/or your Teach Me Bass Guitar account without notice and without refund to you.

15. Teach Me Bass Guitar Service Restrictions


When you use the Service, you may not (or attempt to):                        

- use the Service in an illegal manner or for an illegal purpose;  
- copy, sell, rent, or sublicense the Service to any third party;
- circumvent, reverse-engineer, modify, disable, or otherwise tamper with any security technology that Teach Me Bass Guitar uses to protect the Service or encourage or help anyone else to do so;
- access the Service other than by means authorized by Teach Me Bass Guitar;
- or remove any proprietary notices or labels on the Services.

16. Your Use of Teach Me Bass Guitar


Content In addition to the general restrictions above, the following restrictions and conditions apply specifically to your use of Content.

A) The Content on the Service, and the trademarks, service marks and logos ("Marks") on the Service, are owned by or licensed to The Learning Dock, LLC, subject to copyright and other intellectual property rights under the law.

B) Content is provided to you AS IS. You may access Content for your information and personal use solely as intended through the provided functionality of the Service and as permitted under these Terms of Use. You shall not download any Content at any time for any reason. You shall not copy, reproduce, distribute, transmit, broadcast, display, sell, license, rent or otherwise exploit any Content for any other purposes without the prior written consent of TLD, which reserves all rights not expressly granted in and to the Service and the Content.

C) You agree not to circumvent, disable or otherwise interfere with security-related features of the Service or features that prevent or restrict use or copying of any Content or enforce limitations on use of the Service or the Content therein.

17. Warranty Disclaimer


THE TEACH ME BASS GUITAR SERVICE AND ALL CONTENT AND SOFTWARE ASSOCIATED THEREWITH, OR ANY OTHER FEATURES OR FUNCTIONALITIES ASSOCIATED WITH THE TEACH ME BASS GUITAR SERVICE, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. THE LEARNING DOCK, LLC, DOES NOT GUARANTEE, REPRESENT, OR WARRANT THAT YOUR USE OF THE TEACH ME BASS GUITAR SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

YOU AGREE THAT YOUR USE OF THE SERVICES SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, THE LEARNING DOCK, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF. THE LEARNING DOCK, LLC, MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THIS SITE'S CONTENT OR THE CONTENT OF ANY SITES LINKED TO THIS SITE AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SERVICES, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVICES, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES BY ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES. THE LEARNING DOCK, LLC, DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICES OR ANY HYPERLINKED SERVICES OR FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.

18. Limitation of Liability


IN NO EVENT SHALL THE LEARNING DOCK, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SERVICES, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVICES, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES BY ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION. YOU SPECIFICALLY ACKNOWLEDGE THAT TEACH ME BASS GUITAR SHALL NOT BE LIABLE FOR CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.

The Service is controlled and offered by The Learing Dock, LLC from its facilities in the United States of America. The Learning Dock, LLC makes no representations that the Service is appropriate or available for use in other locations. Those who access or use the Service from other jurisdictions do so at their own volition and are responsible for compliance with local law.

19. Indemnity


To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless Teach Me Bass Guitar, its parent corporation (The Learning Dock, LLC), officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms of Use; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your Content caused damage to a third party. This defense and indemnification obligation will survive these Terms of Use and your use of the Service.

20. Ability to Accept Terms of Service


You affirm that you are either more than 18 years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Use, and to abide by and comply with these Terms of Use.

21. Assignment


These Terms of Use, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by The Learning Dock, LLC without restriction.

22. Intellectual Property


Copyright: The Teach Me Bass Guitar Service, including all Content provided on the Teach Me Bass Guitar Service and websites, is wholly owned by The Learning Dock, LLC, and protected by copyright, trade secret or other intellectual property laws and treaties.  

23. General


You agree that: (i) the Service shall be deemed solely based in Florida; and (ii) the Service shall be deemed a passive website that does not give rise to personal jurisdiction over Teach Me Bass Guitar, either specific or general, in jurisdictions other than Florida. These Terms of Use shall be governed by the internal substantive laws of the State of Florida, without respect to its conflict of laws principles. Any claim or dispute between you and The Learning Dock, LLC that arises in whole or in part from the Service shall be decided exclusively by a court of competent jurisdiction located in Flagler County, Florida. These Terms of Use, together with the Privacy Notice at http://www.teachmebassguitar.com/privacy-policy and any other legal notices published by Teach Me Bass Guitar on the Service, shall constitute the entire agreement between you and Teach Me Bass Guitar concerning the Service. If any provision of these Terms of Use is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Use, which shall remain in full force and effect. No waiver of any term of this these Terms of Use shall be deemed a further or continuing waiver of such term or any other term, and The Learning Dock's failure to assert any right or provision under these Terms of Use shall not constitute a waiver of such right or provision. The Learning Dock, LLC reserves the right to amend these Terms of Use at any time and without notice, and it is your responsibility to review these Terms of Use for any changes. Your use of the Service following any amendment of these Terms of Use will signify your assent to and acceptance of its revised terms. YOU AND THE LEARNING DOCK, LLC - PRODUCERS OF TEACH ME BASS GUITAR - AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
